Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Area29 Labs Pte. Ltd. ("Area29 Labs", "we", "us", or "our"), governing your access to and use of our website located at www.area29labs.com and all related services.

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Our Services

Area29 Labs provides technology consulting, AI and automation solutions, digital transformation services, product development, and market expansion support to businesses globally. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work or Service Agreement entered into between Area29 Labs and the client.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice provided to active clients.

Website Use

Our website is provided for informational purposes. You may use it to learn about our services, submit enquiries, and access published content. You agree not to use the website in any way that is unlawful, harmful, or that could damage, disable, or impair our infrastructure.

Intellectual Property

All content on this website — including but not limited to text, graphics, logos, images, case studies, and software — is the property of Area29 Labs or its content suppliers and is protected by applicable intellectual property laws.

• You may not reproduce, distribute, modify, or create derivative works of our content without prior written permission.
• You may not use our trademarks, logos, or brand elements without explicit written consent.
• Personal, non-commercial use of publicly available content is permitted provided you retain all copyright notices.

Client Work Product

Ownership of work product delivered to clients is governed by the applicable Statement of Work or Service Agreement. Unless otherwise specified, upon full payment of all fees, the client receives a licence to use the deliverables for their intended business purpose.

Payment Terms

Fees for Area29 Labs services are set out in the applicable subscription plan or Statement of Work. The following general payment terms apply:

• Monthly subscription fees are billed in advance at the start of each billing period.
• Annual subscription fees are billed upfront for the full 12-month period.
• Project-based engagements follow the payment schedule specified in the relevant Statement of Work.
• All fees are quoted and payable in USD unless otherwise agreed in writing.
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

Refunds

Monthly subscriptions may be cancelled at any time; no refund is provided for the current billing period. Annual subscriptions are non-refundable. Refunds for project-based work, if applicable, are governed by the relevant Statement of Work.

Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive confidential information belonging to the other. Each party agrees to:

• Maintain the confidentiality of the other party's confidential information
• Not disclose confidential information to third parties without prior written consent
• Use confidential information solely for the purposes of the engagement
• Apply at least the same standard of care to protect the other party's information as it applies to its own

These obligations do not apply to information that is publicly available, was independently developed, or is required to be disclosed by law.

Limitation of Liability

To the maximum extent permitted by applicable law, Area29 Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you to Area29 Labs in the three (3) months immediately preceding the claim.

Termination

Either party may terminate a service engagement in accordance with the notice period specified in the applicable Service Agreement or Statement of Work.

Area29 Labs reserves the right to immediately suspend or terminate access to our services if you breach these Terms, engage in fraudulent activity, or fail to make payments when due.

Upon termination, provisions that by their nature should survive termination — including intellectual property rights, payment obligations, confidentiality, and limitation of liability — shall remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify active clients by email at least 14 days before the changes take effect.

Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
